Terms of Service

Last updated September 2026. Written to be read rather than filed, but these are the actual terms on which the service is provided. If any of it matters to you commercially, take your own advice on it.

1. Agreement to these terms

By creating an account, installing the application, or otherwise using Fuidzy (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. If you are using Fuidzy on behalf of an organisation, you confirm you are authorised to accept these terms on its behalf.

2. The Service

Fuidzy is a personal and small-group planning application comprising a Windows desktop client, a browser-based client, and supporting server components. The Service is provided on an ongoing, actively developed basis. Features may be added, altered or withdrawn. We will make reasonable efforts not to destroy or orphan data you have created when that happens.

3. Your content remains yours

You retain all right, title and interest in and to the content you create in the Service, including tasks, notes, pages, documents, drawings, recordings and uploaded files ("Your Content"). We claim no ownership of Your Content.

You grant us only the limited, non-exclusive, revocable licence strictly necessary to operate the Service for you: to store Your Content, to transmit it between your own devices where you have enabled synchronisation, and to display it to the specific people you have deliberately shared it with. This licence exists solely so the software can function, terminates when you delete the content or your account, and does not permit us to sell, publish, license onward, or train any model on Your Content.

Where an optional feature learns from what you write in order to be more useful to you specifically, that feature is off unless you switch it on, can be switched off at any time, and deletes what it learned when you do.

4. Our intellectual property remains ours

The Service itself — including its software, source code, interface design, visual identity, wordmark, the Fuidzy character and all associated artwork, animations, audio, written copy and documentation (the "Fuidzy Materials") — is owned by us and protected by copyright, trade mark and other applicable laws. Nothing in these terms transfers any ownership of the Fuidzy Materials to you.

You are granted a personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, reverse engineer, decompile, redistribute, resell, sublicense, or create derivative works from the Fuidzy Materials, nor remove or obscure any proprietary notice, except where such restriction is expressly prohibited by applicable law.

Any feedback, suggestions or ideas you send us about the Service may be used without restriction and without obligation to you.

5. Third-party names and comparisons

Product names, trade marks and logos referred to anywhere on this website or within the Service are the property of their respective owners. Any reference to a third-party product is nominative — used to identify that product for the purposes of comparison and commentary — and does not imply affiliation, sponsorship, partnership or endorsement in either direction.

Comparative statements published on this website are opinion and commentary offered in good faith, not statements of verified fact about any third party's product, security, finances or business practices. Pricing figures quoted were accurate to publicly available sources at the time of writing and change frequently; always check the vendor's own pricing page.

6. Acceptable use

You agree not to use the Service to: break any applicable law; infringe anybody's intellectual property; harass, threaten, defame or abuse any person; transmit malware or attempt to compromise the Service or its infrastructure; circumvent any access control, rate limit or usage allowance; scrape, bulk-extract or resell data from the Service; or use the shared and group features to contact people who have not agreed to hear from you.

We may suspend or terminate any account that does these things, without refund where the breach is material.

7. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Tell us promptly if you believe your account has been compromised. You must provide accurate registration information and keep it current.

8. Free and paid plans

Parts of the Service are provided free of charge. We may change what is included in the free tier, but we will not remove from the free tier a capability you are already relying on without notice and a reasonable transition.

Paid subscriptions, where offered, are billed on a recurring monthly or annual cycle through our third-party payment processor, and renew automatically until cancelled. You may cancel at any time from the subscription management page; cancellation takes effect at the end of the period you have already paid for, and you retain paid access until then. We do not provide pro-rata refunds for partial periods except where required by law, but if something has genuinely gone wrong with a charge, contact us within fourteen days and we will deal with it reasonably. Prices may change on reasonable notice, and any change applies from your next renewal, never retroactively.

Payments are processed by a third-party payment provider acting as merchant of record. We do not receive, process or store your full payment card details.

9. Availability

We do not guarantee that the Service will be uninterrupted, timely, secure or error-free, nor that any defect will be corrected. Fuidzy is local-first: your data is stored on your own device and remains accessible to you even if our server components are unavailable. Server-dependent features — synchronisation, shared spaces, the built-in AI connection, share links — may be interrupted, and we may perform maintenance without notice.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. No advice or information obtained from us creates any warranty not expressly stated here. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

11. Limitation of liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for any loss of profits, revenue, goodwill, business opportunity, or data, arising out of or relating to your use of or inability to use the Service, whether based in contract, tort, negligence, strict liability or otherwise, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of the total amount you actually paid us in the twelve months preceding the event giving rise to the claim, or fifty United States dollars. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

You are responsible for keeping your own backups of Your Content. The Service provides export and backup tools for exactly this purpose.

12. Indemnity

You agree to indemnify and hold us harmless from any claim, demand, loss or expense, including reasonable legal fees, arising out of Your Content, your breach of these terms, or your misuse of the Service.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these terms, if required by law, or if continuing to provide the Service to you becomes commercially impracticable. On termination, your licence to use the Service ends; your locally stored data remains on your own device, and you may export it at any time before or after.

14. Changes to these terms

We may update these terms as the Service develops. If a change materially affects your rights we will give reasonable notice, and the updated date at the top of this document will change. Continuing to use the Service after a change takes effect constitutes acceptance of the revised terms.

15. General

If any provision of these terms is held unenforceable, the remainder continues in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. These terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

16. Governing law and contact

These terms are governed by the laws of the jurisdiction in which the operator of Fuidzy is established, without regard to conflict-of-law principles, and the courts of that jurisdiction shall have exclusive jurisdiction over any dispute, save that either party may seek injunctive relief in any competent court to protect its intellectual property. Consumers resident elsewhere retain the benefit of any mandatory protections of their local law.
